Terms of Services

These Terms of Service (“Terms”) govern your access to and use of the services provided by GoodHiresOnly™ Talent Solutions, a sole proprietorship firm registered under the Micro, Small and Medium Enterprises (MSME) Act of India with UDYAM Registration Number [UDYAM-UP-0139200], having its principal office at Paramount Emotions, G-601, Sector 1, Greater Noida West, Uttar Pradesh, India – 201306 (“we,” “us,” “our,” or “GoodHiresOnly”).


By using our website, engaging our services, or otherwise interacting with us, you (“you,” “your,” or “Client”) agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Definitions

For the purpose of these Terms:

  • Client: Any business or individual engaging our recruitment and executive search services.

  • Candidate: A professional introduced by us to the Client for potential employment.

  • Services: Recruitment, executive search, leadership hiring, candidate sourcing, screening, coordination, and related advisory activities.

  • Placement Fee: The agreed fee payable to GoodHiresOnly upon successful candidate placement.

  • Replacement Guarantee: Our commitment to provide a replacement candidate under specified conditions.

  • Confidential Information: All non-public information disclosed by either party during the engagement.

2. Scope & Relationship

We act solely as a recruitment and executive search intermediary. We do not employ Candidates and are not a party to any employment agreement between the Client and the Candidate. All hiring decisions and employment contracts are the sole responsibility of the Client.

3. Exclusive Engagement & Non-Circumvention

If we are engaged exclusively for certain roles, you agree not to source Candidates for those roles from other agencies or directly during the agreed engagement period. For any Candidate introduced by us, if you hire them—directly or indirectly—within 12 months of our introduction, you agree to pay the applicable Placement Fee, even if the engagement has ended.

 

4. Client Responsibilities

You agree to:

  • Provide accurate role descriptions, timelines, and relevant information to enable effective candidate sourcing.

  • Treat all Candidate information as confidential.

  • Not bypass GoodHiresOnly to engage Candidates directly without our consent.

5. Fees & Payment Terms

  • Standard Fee: Unless otherwise agreed in writing, our Placement Fee is 8.33% of the Candidate’s annual fixed CTC.

  • Invoicing: We issue invoices within the first week following the Candidate’s joining date.

  • Payment: Due within 30 calendar days from the joining date.

  • Late Payment: Overdue invoices will attract a late fee of INR 150 per day until cleared.

  • Taxes: We currently do not charge GST as we fall below the GST registration threshold. Should we become liable for GST, it will be added to all invoices.


6. Replacement Guarantee

We provide a 90-day free replacement if the Candidate voluntarily resigns within 90 days of joining, provided that:

  1. You notify us in writing within that period.

  2. The role’s scope and conditions remain unchanged.
    This guarantee does not cover terminations, layoffs, or non-voluntary exits.

 

7. Candidate Submissions

We will present a curated shortlist (up to 7 vetted Candidates per position) to ensure efficiency and quality in hiring.

 

8. Confidentiality

Both parties agree to keep all Confidential Information private and use it solely for the purpose of fulfilling the engagement. This obligation survives termination of the engagement.

 

9. Intellectual Property & Materials

All methodologies, content, templates, and tools used by GoodHiresOnly remain our sole property. Any materials we provide may be used only for internal recruitment purposes and may not be shared externally without our consent.

 

10. Limitation of Liability

Our total liability for any claims arising out of these Terms is limited to the total Placement Fees paid for the specific engagement. We are not liable for indirect, incidental, or consequential damages, including but not limited to loss of business, revenue, or opportunity.


11. Termination

Either party may terminate the engagement with 30 days’ written notice. Placement Fees for Candidates already hired remain payable in full.

 

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be resolved amicably; failing that, disputes will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the venue in Noida, Uttar Pradesh, and proceedings in English.

 

13. Changes to Terms

We may revise these Terms from time to time. Updated Terms will be posted on our website, and your continued use of our services after such updates will constitute acceptance of the changes.
